Hello, and welcome to the  Terms and Conditions of Use ("Terms"). The Terms you see below are important because they:

4.     Contain a class action waiver and an agreement to resolve any disputes that may arise by arbitration

1.       Introduction: Personalized, Preparatory Healthcare for Pregnancy

 

Welcome to Bastion! Bastion combines top-rated doctors with advanced technology to understand your reproductive health today and guide you through your health journey. Our doctors come from top universities and have completed their residencies at premier institutions.

 

By signing up or otherwise using any of these Bastion services, including all associated features and functionalities, websites and user interfaces, as well as all content and software applications associated with our services (collectively, the "Bastion Service" or "Service"), or accessing any educational material or other content or material that is made available through the Service (the "Content") you are entering into a binding contract with Bastion Health, Inc.

 

Your agreement with us includes these Terms and any additional terms that you agree to, as discussed in the Entire Agreement section below, other than terms with any third parties (collectively, the "Agreements"). If you wish to review the terms of the Agreements, the current effective version of the Agreements can be found on Bastion's website. You acknowledge that you have read and understood the Agreements, accept these Agreements, and agree to be bound by them. If you don't agree with (or cannot comply with) the Agreements, then you may not use the Bastion Service or access any Content.

 

In order to use the Bastion Service and access any Content, you need to (1) be 18 years or older and (2) have the power to enter a binding contract with us and not be barred from doing so under any applicable laws, and (3) reside in the United States. You also promise that any registration information that you submit to Bastion is true, accurate, and complete, and you agree to keep it that way at all times.

 

At the beginning of your membership, you will be assigned a care team. Together you and your doctor complete your baseline visit to establish your goals and personalized plan. Throughout the program, you’ll have an opportunity to build a relationship with your doctor through shared decision-making based on trust and transparency.

 

 

2.     Payments and Cancellations

 

2.1   Freemium Use.

Once Bastion notifies Customer that set-up and configuration are completed, Customer has access to free features within the app. At any time Customer may elect to cancel this Agreement and all initial agreed-to Purchase Orders for Applications by unsubscribing to Bastion (“Cancellation Notice”), whereupon (a) Bastion shall take down Customer’s profile and access authorization and (subject to archive retention requirements, if any) delete the Customer Data retained in the Platform, and (b) Customer shall cease use of the Platform and Applications and permanently delete any Output obtained by Customer from use of the Platform or Applications. Free features are for evaluation purposes: Bastion shall have no liability for any interruption or error arising from its services or use of the Platform or Applications during set-up and configuration or the use Period.

 

Important details regarding your freemium use (herein referred to as a "Freemium"):

Freemium use is valid only for use by adults in the United States. Freemium may not be resold by Customer.

On-demand 24/7 virtual care (e.g. “Video Chat” or “My Care”) is offered at additional cost to the user of the Freemium user ("User")

Any other care sought, including without limitation, in-office care, and third-party charges such as prescriptions may have associated fee for service charges.

Additionally, lab fees for any testing may be chargeable (whether directly to authorized user or their insurance) by third parties (e.g. LabCorp). Bastion Health LLC has no liability for any such charges.

Activation of Freemium require authorized user to set up an username and password

 

 

2.2   Billing

 

You may purchase a Service Package directly from GetBastion.com, the app or through a third party either by pre-payment giving you access to the Bastion Service for a specific time period ("Pre-Paid Period").

 

Bastion may change the price for the Paid Services, including recurring service package fees, the Pre-Paid Period (for periods not yet paid), or Codes, from time to time and will communicate any price changes to you in advance and, if applicable, how to accept those changes. Price changes will take effect at the date of the price change. Subject to applicable law, you accept the new price by continuing to use the Bastion Service after the price change takes effect. If you do not agree with a price change, you have the right to reject the change by canceling the service prior to the price change going into effect.

 

2.3   Cancellation

 

If Customer cancels this Agreement prior to the initial call with a member of the care team and accordance with Section 2.2 above, then no fee will be due to Bastion and any fees paid will be refunded after deducting processing charges of 10% of the amount paid. If Customer does not so cancel, then the fee for each initial Application under any agreed-to Orders will be due as provided in each Purchase Order.

Starter: Prostate Health Assessment

Comprehensive at-home assessment and BPH (Benign Prostatic Hyperplasia) diagnostics for men. The prostate assessment service educates and diagnoses men at risk of Benign Prostatic Hyperplasia. Conducted over two consultations (tele-visits), our specialists assess if a patient suffers from BPH or if there are medical conditions or lifestyle stressors that will increase their risk of BPH. It helps them understand possible test results and the right treatment plans as required and learn about lifestyle factors and changes that will optimize their health. Note: Costs of any tests and medications prescribed are additional and not included in the package price

Essential 6M: Prostate Health Treatment

Comprehensive six-month BPH management plan. Includes diagnostics, clinical treatment plan and lifestyle enhancement to assess and manage mild to severe BPH in men from the comfort of their home. The prostate treatment service educates, diagnoses and treats men at risk of or with BPH. Conducted over six consultations (tele-visits), our specialists assess if there are medical conditions or lifestyle stressors that will aggravate their condition, help them understand possible test results and establish a personalized treatment plan to help them achieve their objectives. During the program, they also learn about lifestyle factors that will impact their condition and receive a personalized lifestyle plan to optimize their health. Our providers will prescribe medications and refills along with recommending supplements as determined by their treatment plan and their progress.

In addition, our patients have access to customized educational content from Harvard Heath and Mayo Clinic along with treatment progression trackers, quizzes and updates on the Bastion Health Smartphone App.

Conducted over two consultations (tele-visits), our specialists assess if there are medical conditions or lifestyle stressors that will inhibit their reproductive ability, help them understand possible test results and the right treatment plans as required and learn about lifestyle factors that will impact their fertility and how to optimize their health.

4. Support.

Bastion provides online support and can be contacted emailing support@getbastion.com.

 

5. Platform License, Ownership and Use

5.1. License for Mobile Application

Subject to the terms and conditions of this Agreement, during the Term of this Agreement and until the end of the Package Period specified for each Application, Bastion grants Customer a non-exclusive, revocable, non-transferable, non-sublicensable right: (i) to permit Customer’s employees to access and use the Platform and Applications, and, upon Bastion’s prior written approval (which Bastion will not unreasonably withhold), to permit one or more independent contractors to do the same on behalf of Customer, (ii) to submit Customer Data to the Platform and to receive and use output available to Customer from the Platform and Applications, including output that combines or derives from Customer Data (the “Output”), and (iii) to use the Basic Platform Functionality provided by the Platform and the functionality of the Applications, in each case solely in order for Customer to [description of the business use or purpose that is supported] (“the Permitted Purpose”). The employees and approved independent contractors who are permitted to access and use the Platform and Applications are referred to as “Authorized Users.”

 

5.2 Authorized Users.

The total number of Authorized Users who are permitted to access and use the Platform and Applications during any calendar quarter (i.e., January 1 through March 31, and each 3-month period thereafter) or portion thereof, regardless of whether they actually do so or do so concurrently, will be limited in each quarter to the maximum number of Authorized Users prescribed in each Purchase Order for the corresponding Application. Customer will permit only its Authorized Users to use the Platform and Applications, and such Authorized Users may do so only in compliance with the terms and conditions of this Agreement. Customer is responsible for the use of the Platform and Applications by anyone acting for or on behalf of Customer, including all Authorized Users, and including all persons who use Customer’s passwords (whether or not authorized by Customer).

 

5.3. Ownership of Platform and Applications.

Customer acknowledges that Bastion is and will remain the sole and exclusive owner of all right, title and interest in and to the Platform, the Applications, and the Output, including any intellectual property rights therein, subject to the licenses expressly granted to Customer herein. Bastion acknowledges that the Customer is and will remain the sole and exclusive owner of all right, title and interest in and to its Customer Data, subject to the licenses expressly granted to Bastion herein. Bastion shall have the unrestricted right to use any suggestions or improvements pertaining to the Platform or Applications arising as a result of any interactions or communications between the parties. This Agreement does not grant Licensee any right in the algorithms, rules or models used or created by Bastion for the operation of the Platform or Applications, or the collection or analysis of Customer Data to produce the Output.

 

6. Privacy and Customer Data

6.1. Privacy Policy

 We’ve designed Bastion to give you access to more information so you can feel in control of your health. That approach extends to include control over your personal health information. Your data belongs to you. We do not sell your personal information, and we encrypt all health data to safeguard your privacy. We employ physical, technical, and administrative controls to protect your personal information. Please see Privacy Policy.

  

6.2. Use of Data.

Customer agrees that Bastion and its subcontractors and third party Bastions may use the Customer Data in order to perform Bastion’s obligations under this Agreement, to provide or support the Applications, and to produce the Output. In addition, Bastion may aggregate Customer Data with other data created, acquired or derived by Bastion for purposes such as modeling, analyzing trends, developing and improving the Platform and existing and new Applications, and reporting on metrics. Customer will not share or sell Customer Data in any form that identifies Customer or its clients or transactions.

 

6.3. Data Security.

Bastion will implement commercially reasonable security procedures to protect the Customer Data or any portion thereof in its possession against unauthorized disclosures, changes in content, or use in violation of this Agreement or the Purchase Orders. Bastion, and any subcontractors to whom Customer Data in unencrypted form is provided, shall maintain a comprehensive data security program, which shall include reasonable and appropriate technical, organizational and physical security measures against the destruction, loss, unauthorized access or alteration of such Customer Data in the possession of Bastion or such subcontractors, and which shall be (a) no less rigorous than those maintained by Bastion for its own information of a similar nature, (b) no less rigorous than accepted security standards in the industry, (c) adequate to meet Customer’s legal requirements as each is communicated to Bastion, such as litigation hold requests, and (d) otherwise in compliance with all applicable laws, provided that Bastion shall be entitled to reasonable compensation and reimbursement of expenses if any change in its systems or procedures or significant other additional effort is required to meet a litigation hold request or similar unique legal requirements.

 

6.4. Notice of Security Breach.

In the event Bastion discovers or is notified of a breach of security involving Customer Data in the possession or control of Bastion or its subcontractors which creates a risk of loss, theft or misuse of the Customer Data, Bastion shall immediately (a) notify Customer, as applicable, of such breach, (b) investigate (in consultation with Customer, as applicable) such breach, (c) perform a root cause analysis and prepare a corrective action plan, (d) provide written reports of its findings and proposed actions to Customer, as applicable, for its review and approval, and (e) to the extent such breach results from the acts or omissions of Bastion or its subcontractors or affiliates, remediate such breach of security in accordance with Section 6.5 and take commercially reasonable actions to prevent its recurrence.

  

7. Term and Termination

The Agreements will continue to apply to you until terminated by either you or Bastion . However, you acknowledge and agree that the perpetual license granted by you in relation to User Content, including Feedback, is irrevocable and will therefore continue after expiry or termination of any of the Agreements for any reason. Bastion  may terminate the Agreements or suspend your access to the Bastion  Service at any time, including in the event of your actual or suspected unauthorized use of the Bastion  Service and/or Content, or non-compliance with the Agreements, or if we withdraw Services and/or Content (in which case we shall provide you with reasonable notice in advance of doing so). If you or Bastion  terminate the Agreements, or if Bastion  suspends your access to the Bastion  Service, you agree that Bastion  shall have no liability or responsibility to you, and Bastion  will not refund any amounts that you have already paid, to the fullest extent permitted under applicable law. You may terminate the Agreements at any time. To learn how to terminate your Bastion  account, please contact us through the Customer Service contact form which is available on our About Us page. This section will be enforced to the extent permissible by applicable law.

 

8. Indemnification and Liability

You agree to indemnify and hold Bastion harmless from and against all damages, losses, and expenses of any kind (including reasonable attorney fees and costs) arising out of or related to: (1) your breach of the Agreements or any one of them; (2) any User Content you post or otherwise contribute; (3) any activity in which you engage on or through the Bastion Service; and (4) your violation of any law or the rights of a third party.

 

9. IP Infringement.

If the Platform or Application (or any portion thereof) becomes the subject of an intellectual property infringement or misappropriation claim caused by Bastion’s operation or design of the Platform or Application, Bastion will (a) replace or modify the infringing portion to avoid the infringement claim, while providing substantially equivalent functionality, (b) secure Customer’s right to continue use of the Platform, or (c) remove the infringing portion. If such removal has a material adverse impact on the use of the Platform, then Customer may terminate this Agreement upon written notice to Bastion without liability of any kind to either party. Section 6.1 and this Section 6.2 together state Customer’s exclusive rights and remedies with respect to any intellectual property infringement or misappropriation by Bastion or the Platform.

 

10. DISCLAIMER.

THE PLATFORM IS PROVIDED ON AN “AS IS” BASIS AND BASTION DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, ORAL OR WRITTEN, WITH RESPECT TO THE PLATFORM AND THE AGREEMENT, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. BASTION DOES NOT WARRANT THAT USE OF THE PLATFORM WILL BE UNINTERRUPTED, NON-INFRINGING OR ERROR FREE, OR THE TIMELINESS, ACCURACY OR ADEQUACY OF ANY RESULTS RELATED TO THE PLATFORM, OR THAT THE PLATFORM WILL MEET CUSTOMER’S NEEDS OR EXPECTATIONS.

 

11. LIABILITY LIMITATIONS.

EXCEPT WITH RESPECT TO (A) CUSTOMER’S VIOLATION OF THE TERMS AND CONDITIONS OF ITS LICENSE IN SECTION 2, (B) EACH PARTY’S OBLIGATION TO INDEMNIFY THE OTHER UNDER SECTIONS 6.1 AND 6.2, (C) CUSTOMER’S PAYMENT OBLIGATIONS DUE UNDER THIS AGREEMENT AND ANY PURCHASE ORDER, AND (D) BASTION’S OBLIGATION UNDER SECTION 6.5: NEITHER PARTY WILL BE LIABLE TO THE OTHER IN CONNECTION WITH THIS AGREEMENT OR ANY PURCHASE ORDER FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST DATA, OR FINANCIAL RESULTS OR LOST PROFITS, HOWEVER CAUSED AND UNDER WHATEVER THEORY OF LIABILITY, EVEN IF THE OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (Y) EACH PARTY’S TOTAL LIABILITY UNDER THIS AGREEMENT AND THE PURCHASE ORDERS, CONSIDERED IN THE AGGREGATE, FOR WHATEVER CAUSE, WHETHER IN AN ACTION IN CONTRACT OR IN TORT OR OTHERWISE, WILL BE LIMITED TO DIRECT DAMAGES AND WILL IN NO EVENT ON A CUMULATIVE BASIS EXCEED AN AMOUNT EQUAL TO THE AGGREGATE OF ALL PURCHASE FEES ACTUALLY PAID BY CUSTOMER TO BASTION DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE TIME THAT THE CLAIM FIRST AROSE.

  

12. . Miscellaneous

12.1. Notices.

All notices hereunder by either party will be given by emailing support@getbastion.com or compliance@getbastion.com

12.2. Assignment.

Neither this Agreement nor any Purchase Order may be assigned or transferred by either party. Any attempted assignment without such consent will be void. Notwithstanding the foregoing, either party may assign its rights and obligations under this Agreement and all Purchase Orders, in whole but not in part, without the other party’s permission, in connection with any merger, consolidation, reorganization, sale of all or substantially all of such assigning party’s assets or equity, or any other similar transaction. Subject to the foregoing, this Agreement and each Purchase Agreement are binding on the parties hereto and their respective successors and permitted assigns.

 

12.4. Subcontractors and Third Party Bastions.

Nothing herein prohibits Bastion from using subcontractors, independent contractors or other third parties to perform functions on behalf of Bastion, or to otherwise provide services in connection with the Platform.

 

12.5. Governing Law and Venue; Dispute Resolution.

This Agreement and each Purchase Order will be governed by the laws of the State of Delaware without regard to any choice of law principles that would lead to the application of the laws of another jurisdiction.

 

12.6. Force Majeure.

Neither party will be responsible for any delay, interruption or other failure to perform under the Agreement or any Purchase Orders due to acts, events and causes beyond the control of such party, including, without limitation, acts of God, fires, floods, storms, earthquakes, riots, terrorism or restraints of government, interruptions of Internet, third-party facilities, equipment or telecommunications, or acts of third parties beyond a party’s reasonable control.

 

12.7. Modifications, Waivers.

This Agreement will not be deemed or construed to be modified, amended, or waived, in whole or in part, except as set forth herein or by a separate written agreement duly executed by the parties to this Agreement. Failure to enforce any term or condition of this Agreement or any Purchase Order will not be deemed a waiver of the right to later enforce such term or condition or any other term or condition of this Agreement.

 

12.8. Severability.

If any provision of this Agreement or any Purchase Order is deemed to be invalid, illegal or unenforceable, then the validity, legality or enforceability of the remainder of this Agreement and the Purchase Orders shall not in any way be affected or impaired thereby.

 

12.9. Entire Agreement.

This Agreement and applicable Purchase Orders contain the entire agreement and understanding between Bastion and Customer with respect to the subject matter thereof and supersedes all prior agreements, negotiations, representations and proposals, written and oral, relating to such subject matter.

 

12.10. No Third-Party Beneficiary.

This Agreement and each Purchase Order (a) is entered into solely between the parties and will not be deemed to create any rights in or obligations of any third parties; (b) will not be construed in favor of or against any party by reason of the extent to which any party participated in the preparation of this Agreement; and (c) may be executed in one or more counterparts, all of which taken together will constitute one single agreement between the parties. This Agreement may be executed in counterparts by facsimile or electronically scanned signature in portable document format (“.pdf”), each of which shall be deemed an original and all of which together shall constitute one and the same document.

 

13. USER GUIDELINES

Please respect Bastion, the owners of the Content, and other users of the Bastion Service. Don't engage in any activity, post any User Content, or register and/or use a username, which is or includes material that: is offensive, abusive, defamatory, pornographic, threatening, or obscene; is illegal, or intended to promote or commit an illegal act of any kind, including violations of intellectual property rights, privacy rights, or proprietary rights of Bastion or a third party; includes your password or purposely includes any other user's password or purposely includes personal data of third parties or is intended to solicit such personal data; includes malicious content such as malware, Trojan horses, or viruses, or otherwise interferes with any user's access to the Service; is intended to or does harass or bully other users; impersonates or misrepresents your affiliation with another user, person, or entity, or is otherwise fraudulent, false, deceptive, or misleading; involves the transmission of unsolicited mass mailings or other forms of spam, junk mail, chain letters, or similar; involves commercial or sales activities, such as advertising, promotions, contests, sweepstakes, or pyramid schemes, that are not expressly authorized by Bastion; links to, references, or otherwise promotes commercial products or services, except as expressly authorized by Bastion; interferes with or in any way disrupts the Bastion Service, tampers with, breaches, or attempts to probe, scan, or test for vulnerabilities in the Service or Bastion's computer systems, network, usage rules, or any of Bastion's security components, authentication measures or any other protection measures applicable to the Service, the Content or any part thereof; or conflicts with the Agreements, as determined by Bastion.

You acknowledge and agree that posting any User Content that violates these User guidelines (or that Bastion reasonably believes violates these User guidelines) may result in immediate termination or suspension of your Bastion account. You also agree that Bastion may reclaim your username for any reason. Please be thoughtful about how you use the Bastion Service and what you share. The Bastion Service includes social and interactive features, including the ability to post User Content, share content, and make certain information about you public. Remember that shared or publicly available information may be used and re-shared by other users on Bastion or across the web, so please use Bastion carefully and be mindful of your account settings. Your password protects your user account, and you are solely responsible for keeping your password confidential and secure. You understand that you are responsible for all use (including any unauthorized use) of your username and password on the Service. Do you accept insurance?

Our services are direct-pay, so no insurance is required. This helps reduce the time and expense of processing claims and pre-authorizations. We pass the savings on to you by keeping our costs competitive with typical specialist copays. You can use your FSA/HSA

 

Are the cost of medication included in the plan price?

No, the cost of medications, supplements and lab tests are not included in the plan and will be paid by you directly when you pick up your prescriptions or place the order for the lab tests.

 

Who are a part of my care team?

Your care team is made of a dedicated care coordinator, primary care physician who will be your care leader and responsible for your treatment plan, a urologist or a urology nurse practitioner to provide specialty clinical care and health coaches to provide lifestyle plans.
